These Terms govern your use of OnyorAI’s document processing services. By placing an order or using our website, you agree to these Terms in full. Please read them carefully before purchasing.
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and OnyorAI LLC, a limited liability company registered in the State of Iowa, United States, with its principal office at 3700 Grand Avenue, Des Moines, IA 50312, USA (“OnyorAI,” “we,” “us,” or “our”).
By accessing our website at onyorai.com, creating an account, placing an order, uploading documents, or using any of our services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including our Privacy Policy, Refund Policy, and any other policies referenced herein.
If you do not agree to these Terms, you must immediately cease use of our website and services. We reserve the right to modify these Terms at any time by posting an updated version on our website. Your continued use of our services following any modification constitutes your acceptance of the updated Terms. We will notify registered clients of material changes by email at least 14 days before they take effect.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” and “your” refer to that entity.
OnyorAI provides AI-powered document processing services, including but not limited to:
Our services are provided on a per-project (one-time) or monthly subscription basis as described in our pricing plans published on our website. All services are subject to availability, the page and volume limitations of your chosen pricing plan, and the technical feasibility of processing your specific document types.
OnyorAI reserves the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will provide at least 30 days’ written notice before discontinuing any service for which you have an active paid subscription.
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.
When registering an account, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the confidentiality of your account credentials; (d) accept responsibility for all activities that occur under your account; and (e) notify us immediately of any unauthorized use of your account at support@onyorai.com.
OnyorAI reserves the right to refuse service, terminate accounts, or cancel orders at our discretion, including in cases of suspected fraud, violation of these Terms, or abusive behavior toward our staff.
All orders are processed through Stripe, Inc., a PCI DSS Level 1 certified payment processor. By placing an order, you authorize OnyorAI to charge the payment method you provide through Stripe for the full amount of your selected plan, including any applicable taxes and fees.
One-Time Project Orders (Starter Plans): Payment is charged in full at the time of purchase. Processing begins upon receipt of your complete document submission via our secure portal. No refunds for orders already in processing unless covered by our Refund Policy.
Monthly Subscription Plans (Professional and Enterprise): You authorize OnyorAI to charge your payment method on the same calendar date each month from the date of your first subscription payment. Subscriptions automatically renew each month unless cancelled at least 3 business days before your next billing date. Cancellation does not entitle you to a refund of the current month’s subscription fee except as described in our Refund Policy.
All prices are displayed in Euro (€). EU-based customers will be charged VAT at the applicable rate for their country. Customers outside the EU are responsible for any applicable local taxes, duties, or fees. OnyorAI reserves the right to change pricing at any time, with 30 days’ notice to active subscribers before any price changes take effect on their account.
In the event of a failed payment, OnyorAI will attempt to reprocess the charge up to three times over 5 business days. If payment remains unsuccessful, your account may be suspended and any in-progress projects may be paused pending payment resolution.
OnyorAI will use commercially reasonable efforts to deliver your processed output within the turnaround time stated on your selected pricing plan, measured from the time we receive your complete, properly formatted document submission. Turnaround times are business estimates and not contractually guaranteed delivery deadlines, unless you have purchased a plan with an explicit SLA (Service Level Agreement).
Delivery is made electronically via: (a) our secure client download portal; (b) email attachment for files under 25MB; (c) direct integration to Airtable, Dropbox, or Google Drive where configured; or (d) other agreed-upon delivery method for Enterprise clients.
OnyorAI is not responsible for delivery delays caused by: client errors in document submission; incomplete, password-protected, or corrupt files; client failure to respond to clarification requests within 48 hours; or events outside our reasonable control (force majeure).
You represent, warrant, and agree that:
OnyorAI’s output accuracy is directly dependent on the quality, legibility, and completeness of documents submitted. We are not responsible for extraction errors caused by illegible source materials, damaged documents, poor scan quality below industry standards, or intentionally misleading document content.
Upon receipt of full payment and delivery of your processed output files, you own all intellectual property rights to: (a) the original documents you submitted; and (b) the structured data output delivered to you. OnyorAI claims no ownership rights over your source documents or output data.
OnyorAI retains sole and exclusive ownership of: all proprietary software, algorithms, AI models, processing pipelines, and methodologies used to provide the services; the OnyorAI brand, trademarks, logos, and website content; and all aggregated, anonymized performance and benchmarking data derived from processing activities (which contains no client data).
You grant OnyorAI a limited, non-exclusive, non-transferable, royalty-free license to process, store, and transmit your documents solely for the purpose of delivering the contracted services. This license automatically terminates upon completion of service delivery and data deletion in accordance with our deletion schedule.
OnyorAI treats all client documents, business information, and output data as strictly confidential. We will not share, sell, rent, or disclose your documents or processed data to any third party except:
Your source documents are permanently and automatically deleted within 72 hours of delivery. Processed output files are retained in your download portal for 30 days, then permanently deleted. We never use your documents for AI training, benchmarking, or any purpose other than delivering your contracted output.
For clients whose documents contain personal data of EU/EEA residents, OnyorAI will sign a GDPR Article 28 Data Processing Agreement (DPA). For healthcare clients in the United States, OnyorAI will execute a HIPAA Business Associate Agreement (BAA) before processing any Protected Health Information (PHI).
Upon written request submitted before project initiation, OnyorAI will execute a mutual Non-Disclosure Agreement (NDA) at no additional cost. Contact contact@onyorai.com with subject “NDA Request” to arrange this.

OnyorAI warrants that:
If the accuracy of your delivered output falls more than 5 percentage points below the rate stated for your plan, you are entitled to free reprocessing or a full refund under our Refund Policy. Accuracy guarantees apply to document types and conditions as described on our pricing page; degraded, damaged, or extremely low-quality documents are assessed separately.
EXCEPT AS EXPRESSLY STATED IN SECTION 9, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
ONYORAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY ACCURATE FOR EVERY DOCUMENT TYPE OR CONDITION. ONYORAI DOES NOT WARRANT THAT THE OUTPUT WILL BE SUITABLE FOR ANY PARTICULAR DOWNSTREAM USE CASE, REGULATORY COMPLIANCE PURPOSE, OR LEGAL PROCEEDING WITHOUT INDEPENDENT VERIFICATION BY A QUALIFIED PROFESSIONAL.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONYORAI’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ONYORAI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) €100.
IN NO EVENT SHALL ONYORAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, EVEN IF ONYORAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms shall exclude or limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be lawfully excluded or limited.
You agree to indemnify, defend, and hold harmless OnyorAI LLC and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Either party may terminate these Terms at any time. You may terminate by cancelling your account and ceasing all use of our services. OnyorAI may terminate or suspend your access immediately, without prior notice or liability, if you breach any provision of these Terms, if required by law, or if continued provision of services is commercially impracticable.
Upon termination:
These Terms are governed by and construed in accordance with the laws of the State of Iowa, United States, without regard to its conflict of law provisions. For EU-based clients, mandatory statutory consumer protections under applicable EU law are expressly preserved and are not limited by this clause.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services, the parties agree to first attempt resolution through good-faith negotiation for a period of no less than 30 calendar days after written notice of the dispute is provided.
If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings to be conducted in Des Moines, Iowa, USA. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent immediate, irreparable harm.
Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and OnyorAI regarding our services and supersede all prior agreements, representations, and understandings.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Waiver: OnyorAI’s failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of OnyorAI.
Assignment: You may not assign or transfer these Terms or any rights hereunder without OnyorAI’s prior written consent. OnyorAI may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to active clients.
Force Majeure: OnyorAI will not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, widespread internet disruptions, or third-party infrastructure failures.
Language: These Terms are written in English. Any translated version is provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
Updates: We last updated these Terms on March 1, 2026. We will post any future updates on this page and update the “Last updated” date accordingly.
